Lifecoach’s mission is to improve lives through coaching.


We enable anyone anywhere to create and share self-study coaching (educational/instructional) courses (Coaches) and to enrol in these coaching courses in order to learn (Students). We consider our marketplace model the best way to offer valuable educational content to our users.


Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the http://lifecoach.io website (the "Service") operated by Lifecoach ("us", "we", or "our").


Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.


By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.


Availability, Errors and Inaccuracies


We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other web sites. You expressly agree that any such offer of a product or service does not constitute a legal offer capable of attracting legal consequences.


We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice. Section "Availability, Errors and Inaccuracies" is without prejudice to existing statutory rights.


Content & Behaviour


You can only use Lifecoach for lawful purposes.


You may not access or use the Services or create an account for unlawful purposes. Your use of the Services and behaviour on our platform must comply with applicable local or national laws or regulations of your country. You are solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to you.


Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.


By posting Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms.


You represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.


If you are a Student, the Services enable you to ask questions of the Coach(es) of courses that you are enrolled in, and to post public reviews of courses. For certain courses, the Coach(es) may invite you to submit content. Do not post or submit anything that is not yours.


If you are a Coach, you can submit courses for publication on the platform and you can also communicate with the students who have enrolled in your courses. In both cases, you must abide by the law and respect the rights of others: you cannot post any course, question, answer, review or other content that violates applicable local or national laws or regulations of your country. You are solely responsible for any courses, content, and actions you post or take via the platform and Services and their consequences. Make sure you understand all the copyright restrictions set forth in the Coach Creator Terms before you submit any course for publication on Lifecoach.


If we are put on notice that your course or content violates the law or the rights of others (for example, if it is established that it violates intellectual property or image rights of others, or is about an illegal activity), if we discover that your content or behaviour violates our Trust & Safety Guidelines, or if we believe your content or behaviour is unlawful, inappropriate, or objectionable (for example if you impersonate someone else), we may remove your content from our platform.

Lifecoach complies with copyright laws.


Lifecoach has discretion in enforcing these Terms and our Trust & Safety Guidelines. We may terminate or suspend your permission to use our platform and Services or ban your account at any time, with or without notice, for any or no reason, including for any violation of these Terms, if you fail to pay any fees when due, upon the request of law enforcement or government agencies, for extended periods of inactivity, for unexpected technical issues or problems, or if we suspect that you engage in fraudulent or illegal activities, or for any other reason in our sole discretion. Upon any such termination we may delete your account and content, and we may prevent you from further access to the platforms and use of our Services. Your content may still be available on the platforms even if your account is terminated or suspended. You agree that we will have no liability to you or any third party for termination of your account, removal of your content, or blocking of your access to our platforms and services.


If you believe another user is infringing your copyright on our platform, please let us know.


Lifecoach’s Rights to Content You Post


You retain ownership of content you post to our platform, including your courses. We’re allowed to share your content to anyone through any media, including promoting it via advertising on other websites.


The content you post as a Student or Coach (including courses) remains yours. By posting courses and other content, you allow Lifecoach to reuse and share it but you do not lose any ownership rights you may have over your content. If you are a Coach, be sure to understand the course licensing terms that are detailed in the Course Creator Terms.


When you post content, comments, questions, reviews, and when you submit to us ideas and suggestions for new features or improvements, you authorise Lifecoach to use and share this content with anyone, distribute it and promote it on any platform and in any media, and to make modifications or edits to it as we see fit.


In legal language, by submitting or posting content on or through the platforms, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content (including your name and image) in any and all media or distribution methods (existing now or later developed). This includes making your content available to other companies, organisations, or individuals who partner with Lifecoach for the syndication, broadcast, distribution, or publication of content on other media, as well as using your content for marketing purposes. You also waive any rights of privacy, publicity, or other rights of a similar nature applicable to all these uses, to the extent permissible under applicable law. You represent and warrant that you have all the rights, power, and authority necessary to authorise us to use any content that you submit. You also agree to all such uses of your content with no compensation paid to you.


Accounts


You must have reached the age of consent for online services in your country to use Lifecoach.


When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.


You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.


You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.


You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscene. You expressly agree that we cannot be held liable for any loss or damage arising out of any misrepresentations you make in this regard.


Coaches and Students must be at least 18 years of age to create an account on Lifecoach and use the Services. If you are younger than 18 but above the required age for consent to use online services where you live (for example, 13 in the US or 16 in Ireland), you may not set up an account, but we encourage you to invite a parent or guardian to open an account and help you to enrol in courses that are appropriate for you. If you are below this age of consent to use online services, you may not create a Lifecoach account. If we discover that you have created an account that violates these rules, we will terminate your account. You may be requested to verify your identity before you are authorised to submit a course for publication on Lifecoach.


Course Creation


Coaches who create courses on the Lifecoach platform are subject to our Course Creator Terms which can be found here. By creating a course on Lifecoach, you also agree to the Course Creator Terms.


Course Enrolment & Lifetime Access


When you enrol in a course as a Student, you get a license from us to view it via the Lifecoach Services and no other use. Do not try to transfer or resell courses in any way. We grant you a lifetime access license, except when we must disable the course for legal and/or policy reasons.


Under our Course Creator Terms, when Coaches publish a course on Lifecoach, they grant Lifecoach a license to offer a license to the course to Students. This means that we have the right to sublicense the course to the Students who enrol in the course.


As a Student, when you enrol in a course, whether it’s a free or paid course, you are getting a license from Lifecoach to view the course via the Lifecoach platform and Services, and Lifecoach is the licensor of record.


Courses are licensed, and not sold, to you. This license does not give you any right to resell the course in any manner (including by sharing account information with a purchaser or illegally downloading the course and sharing it on torrent sites). In legal, more complete terms, Lifecoach grants you (as a Student) a limited, non-exclusive, non-transferable license to access and view the courses and associated content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with a particular courses or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course unless we give you explicit permission to do so in a written agreement signed by a Lifecoach authorised representative. This also applies to content you can access via any of our APIs.


We generally give a lifetime access license to our Students when they enrol in a course. However, we reserve the right to revoke any license to access and use courses at any point in time in the event where we decide or are obligated to disable access to a course due to legal or policy reasons, for example, if the course you enrolled in is the object of a copyright complaint, or if we determine its content violates our Trust & Safety Guidelines. The lifetime access is not applicable to add-on features and services associated with a course. For example, translation captions of courses may be disabled by instructors at any time, and instructors may decide at any time to no longer provide teaching assistance or Q&A services in association with a course. To be clear, the lifetime access is to the course content but not to the instructor.


Instructors may not grant licenses to their courses to students directly, and any such direct license shall be null and void and a violation of these Terms.


Copyright Policy


We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property infringement ("Infringement") of any person.


If you are a copyright owner, or authorised on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice in writing to the attention of "Copyright Infringement" to hello@lifecoach.io and include in your notice a detailed description of the alleged Infringement.


In cases where there are conflicting claims to the ownership of Copyright, it is our policy to air on the side of removing materials from our Service.


Complaints under the Copyrights, Designs and Patents Act 1988, and European Commerce Directive 2000


If you wish to make a complaint/request that certain material be taken down, please send a request in writing to our Notice and Takedown Officer.


We are committed to ensuring that the material displayed on our Service is lawful and in accordance with our UK and EU Copyright Law. To help us deal with your complaint as quickly as possible, please include the following information in your correspondence and mark it as "URGENT":


  • Your contact details - including your name, email address and daytime telephone number.

  • Identify the material in question - please include sufficient detail to enable us to identify the material complained of.

  • The reasons for your objection.


We will review each objection on its merits and pending our inquiries, may remove or disable access to the relevant material from our Service.


Where appropriate, you should include information relating to the status of the material in question (i.e. Where you hold a Trademark, or own the Copyright to an image). This will enable us to deal with your request promptly.

Intellectual Property


The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Lifecoach and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.


When you upload content, you give us a worldwide, non-exclusive, royalty-free, transferable licence (with right to sub-licence) to use, reproduce, distribute, prepare derivative works of, display, and perform that Content in connection with the provision of the Service and otherwise in connection with the provision of the Service and our business.


Links To Other Web Sites


Our Service may contain links to third-party web sites or services that are not owned or controlled by us.

We have no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.


We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.


Payments, Refunds, Credits & Fees


Creating an account and creating a profile on Lifecoach is free, whether you are doing so as a Coach or a Student.


Some courses on Lifecoach are free and others are paid.


Both Students and Coaches can enrol in free or paid courses. When a Coach enrols in a course (as a Student), the Terms for Students will also apply.


When you make a payment on Lifecoach, you agree to use a valid payment method.

Course Pricing


The prices of courses on Lifecoach are determined based on the Course Creator Terms and our Promotions Policy. In some instances, the price of a course offered on the Lifecoach website may not be exactly the same as the price offered on our other platforms, due to variance in their pricing systems and policies around implementing sales and promotions.


We may run promotions and sales for our courses, meaning certain courses are available at discounted prices for a set period of time. The price applicable to a course will be the price at the time you complete your purchase of the course (at checkout). Any price offered for a particular course may also be different when you are logged into your account from the price available to users who aren’t registered or logged in, because some of our promotions are available only to new users.


If you are logged into your account, the listed currency you see by default may be based on your location and can be changed. If you are not logged into your account, the price currency may be based on the country where you are located and can also be changed.


If you are a Student located in a country where use and sales tax, goods and services tax, or value added tax is applicable to consumer sales, we may be responsible for collecting and remitting that tax to the proper tax authorities. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.


Payments


You agree to pay the fees for courses that you purchase, and you authorise us to charge your debit or credit card or process other means of payment for those fees.


Lifecoach works with third party payment processing partners to offer you the most convenient payment methods in your country and to keep your payment information secure. See 'Payment Processing Services' below for more details.


When you make a purchase, you agree not to use an invalid or unauthorised payment method.

If your payment method fails and you still get access to the course you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any course for which we have not received adequate payment.


Refunds and Refund Credits


If you are less than 100% happy with your course, Lifecoach offers a 28-day refund or credit for most course purchases.


If the course you purchased is not what you were expecting, you can request, within 28 days of your purchase of the course, that Lifecoach apply a refund to your account.


We reserve the right to apply your refund as a refund credit or a refund to your original payment method, at our discretion, depending on capabilities of our payment processing partners, the platform from which you purchased your course, and other factors.


No refund is due to you if you request it after the 28-day guarantee time limit has passed. However, if a course you previously purchased is disabled for legal or policy reasons, you are entitled to a refund beyond this 28-day limit.


Lifecoach also reserves the right to refund Students beyond the 28-day limit in cases of suspected or confirmed account fraud.


Under the Course Creator Terms, Coaches who create courses on Lifecoach agree that students have the right to receive these refunds.


If we decide to issue refund credits to your account, they will be automatically applied towards your next course purchase on our website, but can’t be used for purchases on other platforms. Refund credits may expire if not used within the specified period, and have no cash value.


At our discretion, if we believe you are abusing our refund policy, such as if you’ve consumed a significant portion of a course that you want to refund or if you’ve previously refunded a course, we reserve the right to deny your refund, ban your account, and/or restrict all future use of the Services. If we ban your account or disable your access to a course due to your violation of these Terms or our Trust & Safety Guidelines, you will not be eligible to receive a refund.


Gift and Promotional Codes


Lifecoach or our partners may offer gift and promotional codes to students. Certain codes may be redeemed for prepaid credits applied to your Lifecoach account, which then may be used to purchase eligible courses on our platform, subject to the terms included with your codes. Other codes may be directly redeemable for specific courses. Prepaid credits can’t be used for purchases on our other platforms.


These codes and credits, as well as any promotional value linked to them, may expire if not used within the period specified in your Lifecoach account. Gift and promotional codes offered by Lifecoach may not be refunded for cash, unless otherwise specified in the terms included with your codes or as required by applicable law. Gift and promotional codes offered by a partner are subject to that partner’s refund policies. If you have multiple saved credit amounts, Lifecoach may determine which of your credits to apply to your purchase.


Payment Processing Services


If you are a registered 'Coach' user on Lifecoach, our service may, subject to the clauses below, offer you the ability to sell and get paid for online coaching courses that you create.


Availability of this feature is entirely at our discretion and may or may not be available to you based on our Service availability or your geographical location. When available, this feature is entirely optional, and you will be given the option to opt-in via your Lifecoach account settings.


Payment processing services for registered 'Coach Course Creators' on Lifecoach are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a Coach Course Creator on Lifecoach, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Lifecoach enabling payment processing services through Stripe, you agree to provide Lifecoach accurate and complete information about you and (if applicable) your business, and you authorise Lifecoach to share it and transaction information related to your use of the payment processing services provided by Stripe.


Termination


We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.


Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.


All provisions of the Terms which, by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.


Indemnification


You agree to defend, indemnify and hold harmless us and our licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.


Limitation Of Liability


In no event shall we, nor our directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.


We, our subsidiaries, affiliates, and our licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.


Exclusions


Without limiting the generality of the foregoing and notwithstanding any other provision of these terms, under no circumstances will we ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from, connected with, or relating to your use of the Service, these Terms, the subject matter of these Terms, the termination of these Terms or otherwise, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including without limitation gross negligence and fundamental breach) by us or any person for whom we are responsible, and even if we have been advised of the possibility of such loss or damage being incurred.


Governing Law


These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.


Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.


Changes


We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.


By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the service.
